4. Intellectual Property

Client Work
Ownership of custom work delivered to a client is governed by the specific client agreement.
Unless otherwise stated:

- Clients receive a license to use deliverables for their business operations.
5. Third-Party Tools & Integrations
Our services may integrate with or depend upon third-party platforms, including but not limited to:

wowdesign LLC is not responsible for:

Clients are responsible for maintaining valid accounts with required third-party providers.
6. AI & Analytical Tools Disclaimer
Some features, including calculators, projections, automation recommendations, or data insights, may rely on AI-driven or automated tools.
These tools are intended for strategic support only and do not constitute financial, legal, or investment advice.
All projections, performance estimates, or simulations are illustrative and not guaranteed.
7. No Performance Guarantees
While our services are designed to improve sales infrastructure and buyer experience, wowdesign LLC does not guarantee:
- Specific revenue increases
- Lead volume growth
- Sales conversion rates
- Sell-out timelines
Performance outcomes depend on numerous external factors, including:
- Market conditions
- Pricing strategy

- Advertising spend
- Economic environment
All services are provided on a strategic implementation basis, not a results-guarantee basis.
8. Client Responsibilities
Clients agree to:

- Assign a primary point of contact
- Participate in required review cycles
Project delays caused by client inaction do not constitute breach by wowdesign LLC.
9. Payment & Invoicing
Unless otherwise stated in a signed agreement:
- Services are invoiced in USD
- Payments are processed via Stripe or other designated payment processor
- Deposits are non-refundable unless explicitly stated
- Late payments may incur fees or suspension of services
Failure to make timely payments may result in project delays or termination.
10. Confidentiality
wowdesign LLC agrees to treat client proprietary information as confidential and not disclose it to third parties except:
- As required for service execution
- To approved subcontractors under confidentiality obligations
- As required by law
Clients agree not to disclose proprietary methodologies, frameworks, or strategic systems developed by wowdesign LLC.
11. Limitation of Liability
To the fullest extent permitted by law, wowdesign LLC shall not be liable for:
- Indirect or consequential damages
- Loss of revenue or business opportunity
- Data loss
- System downtime
- Third-party failures
- Market performance fluctuations
Total liability shall not exceed the total fees paid to wowdesign LLC under the applicable agreement.
12. Indemnification
You agree to indemnify and hold harmless wowdesign LLC from any claims, damages, or legal expenses arising from:
- Your misuse of services
- Your violation of these Terms
- Your breach of third-party platform terms
- Your improper use of delivered systems
13. Termination
wowdesign LLC reserves the right to suspend or terminate services if:
- Payments are overdue
- Terms are violated
- Fraud or abuse is detected
Termination conditions and refunds, if any, are governed by the applicable signed agreement.
14. Governing Law
These Terms are governed by the laws of the State of Florida, United States.
Any disputes shall be resolved in courts located in Miami-Dade County, Florida.
15. Changes to Terms
wowdesign LLC may update these Terms at any time.
Continued use of the Site or services after updates constitutes acceptance of the revised Terms.
